What Actually Happens If You Just Let Your UAE Trade Licence Expire

By nAlyze • October 20, 2026
Trade Licence Expired

There is a widespread belief that a trade licence left expired in the UAE eventually cancels itself. The business stopped trading, the renewal invoice went unpaid, and the whole thing quietly lapses.

It does not work that way. Expiry is a violation, not a closure, and the company stays on the register with everything still attached to it.

Expiry Is Not Closure

An expired licence does not end the legal entity. The company continues to exist, continues to be your responsibility and continues to accrue obligations; it simply loses the right to trade while doing so.

Nothing arrives to tell you this; no notice, no confirmation that the matter is closed, which is exactly why the assumption survives.

What Keeps Running After the Licence Lapses

  • Renewal fines. They accrue monthly, and amounts differ by emirate and free zone, a few hundred dirhams a month in some, over a thousand in others, with surcharges once the delay extends
  • Residence visas you sponsored. These stay live until formally cancelled, and can generate overstay exposure for the holders, including family members
  • The establishment card and immigration file. Still open, still attached to the company
  • Tax registrations. Administered separately from licensing, so they do not lapse with the licence and the filing obligations continue
  • Lease, utility and service contracts. Still enforceable against the company

Trading on an expired licence is a separate offence from failing to renew, with its own penalty. Invoicing a client after expiry is doing exactly that.

The Escalation Path

Dubai is commonly described as allowing around 30 days after expiry before penalties begin, though this is not formally guaranteed and most free zones apply no grace at all. After that:

  • Monthly fines begin accruing, with surcharges added once the delay extends
  • Government services attached to the licence stop; no work permits, no visa renewals for staff
  • Prolonged non-renewal can place the company on the licensing authority’s violations register
  • Free zones may suspend the registration and begin their own strike-off or liquidation process
  • Restoration is sometimes possible within a defined window, but only after every outstanding fee and penalty is settled

None of this requires anyone to contact you first. Current fee and penalty positions are published by the relevant authority; for Dubai mainland, the Department of Economy and Tourism.

A Trade Licence Expired in the UAE Follows the Owner

This is what makes abandonment a bad trade: the consequences do not stay inside the dormant company.

A violations register entry can attach to directors and shareholders personally, not only to the entity. That can block government transactions, complicate residence status and prevent registering a new company in the same emirate. Bank accounts can be frozen with the balance still inside, and opening one for the next venture becomes materially harder with an unresolved file behind you.

Director and shareholder liability for the company’s outstanding obligations does not disappear because the licence did.

If the Business Is Genuinely Finished

Formal closure is what stops the clock. It cancels the visas, closes the immigration file, clears the tax registrations and ends the fine accrual, and leaves you able to open the next company without a history to explain.

Closing properly almost always costs less than not closing, and far less once a restoration or blacklist removal is involved. The order of work, including the tax deregistration deadlines that run from cessation rather than licence cancellation, is in our guide to closing a UAE company.

Frequently Asked Questions

Does my company close automatically if I stop renewing the licence?

No. The entity stays on the register and keeps accruing fines and obligations. Closure happens only through formal cancellation or liquidation, or eventually a strike-off initiated by the authority, which is not a clean exit.

Is there a grace period after a UAE trade licence expires?

Dubai is commonly described as allowing around 30 days before penalties begin, but this is not formally guaranteed and most free zones apply none at all. Treat the expiry date as the deadline.

What happens to my employees’ visas if the licence expires?

They stay active until cancelled and cannot be renewed while the licence is lapsed. Uncancelled visas create overstay exposure for the holders, so cancellation belongs early in any closure, not at the end.

Can I be blacklisted or face travel restrictions?

Prolonged non-renewal can place the company and its directors on the violations register, blocking government transactions and new company registration in that emirate. Where unpaid liabilities are involved, personal consequences including travel restrictions become possible.

Can an expired or struck-off company be restored?

Sometimes, within a defined window and only after all outstanding fees and penalties are paid in full. It is consistently more expensive than closing properly would have been.

Is letting the licence lapse cheaper than liquidating?

Almost never. Liquidation is a known one-off cost. Abandonment is open-ended, compounds monthly, and can reach you personally through the violations register, your banking and your next company.
