Closing a UAE Company: The Tax Deregistration Steps That Cancelling Your Licence Doesn’t Cover
Company liquidation in the UAE has a trap at its centre: cancelling your trade licence does not cancel your tax registrations. That is why owners walk away from a closed business and keep accruing penalties against an entity they believe no longer exists.
The licensing authority and the Federal Tax Authority are separate bodies. Closing with one does nothing at the other.
First: Are You Sure You Need to Liquidate?
Recent amendments to the Commercial Companies Law are reported to let a company move between emirates, free zones and the mainland without liquidating and re-incorporating. If you are closing purely to change jurisdiction, check whether a transfer is open to you first, it is a far cheaper route.
Two Tax Deadlines That Ignore Your Licence
| Obligation | Deadline | Penalty for missing it |
| VAT deregistration | Within 20 business days of ceasing taxable supplies | AED 1,000 per month, capped at AED 10,000 |
| Final VAT return and payment | Within 28 days of the effective deregistration date | Standard late filing and payment penalties |
| Corporate tax deregistration | Within 3 months of cessation or liquidation | AED 1,000 per month, capped at AED 10,000 |
Both clocks start at cessation, not licence cancellation, so they are usually already running by the time closure paperwork begins. Applications go through EmaraTax.
The FTA Is the Gatekeeper
You cannot finish a closure without clearing tax first. Licensing authorities and free zones generally require FTA clearance before cancelling a licence, and the FTA will not clear an account with outstanding returns or liabilities.
- A final corporate tax return is required covering the period up to cessation, including where the company made a loss or was dormant
- Every outstanding return must be filed and every liability settled before clearance
- If you never registered for corporate tax, you must register first, file the returns you owe, and only then deregister
- Many free zones also require a liquidation audit report from an approved auditor
The dormancy assumption is the expensive one. No activity does not mean no filing: a company that traded for two months and sat idle for two years still owes returns for every period. Our corporate tax and VAT teams clear this before it blocks the closure.
The Company Liquidation Order That Actually Works
- Shareholder resolution to dissolve, and appointment of a licensed liquidator, mandatory for a mainland company liquidation
- Creditor notice, mainland companies publish in two Arabic newspapers and observe a mandatory 45-day claim period that cannot be shortened
- Settle liabilities, terminate employees with end-of-service dues, cancel visas
- Complete VAT and corporate tax deregistration and obtain FTA clearance
- Submit the liquidator’s final report and cancel the licence
- Close the bank account last, you still need it to settle final liabilities and receive any refund
A straightforward free zone company liquidation often runs four to eight weeks. Mainland companies with employees commonly take three to six months, driven by the creditor notice and clearances. Plan on the longer end.
Your Records Outlive the Company
Deregistration ends your filing obligation, not your record-keeping obligation, and the FTA can still examine periods when the company was active. Corporate tax records must be kept for seven years after the end of the relevant tax period. Those accounts and invoices need a home after the entity is gone, not a box left with whoever held the office lease.
How nAlyze Helps
We sequence the closure so tax clearance is ready when the licensing authority asks for it, instead of surfacing as a blocker three months in. See our liquidation and financial and tax advisory services, and our guide to the corporate tax filing deadline if returns are outstanding.

Frequently Asked Questions
Does cancelling my trade licence cancel my tax registrations?
No. Licensing and tax are administered separately. Your VAT and corporate tax registrations stay live, and penalties keep accruing, until you deregister with the Federal Tax Authority.
How long do I have to deregister for VAT and corporate tax?
VAT deregistration within 20 business days of ceasing taxable supplies, and corporate tax deregistration within 3 months of cessation. Both carry penalties of AED 1,000 per month, capped at AED 10,000.
Do I need to file if the company was dormant or made a loss?
Yes. A final corporate tax return is required regardless of profit, and outstanding returns must be filed before the FTA issues clearance. Dormancy does not remove the obligation.
How long does company liquidation in the UAE take?
A company liquidation UAE-wide runs commonly four to eight weeks for a straightforward free zone entity, and three to six months for a mainland company with employees, driven largely by the 45-day creditor notice and clearance stages.
How long must I keep records after closing?
Corporate tax records must be kept for seven years after the end of the relevant tax period. Store them somewhere durable before the company is dissolved, because the obligation survives the entity.
