Business setup in the UAE – what entrepreneurs should know in 2026

The UAE is one of the easiest places in the world to register a company, and one of the easiest places to structure one badly. A licence can be issued in days. The decisions attached to it; tax position, banking, visa capacity, reporting obligations are far harder to unwind.

If you are planning a business setup in the UAE in 2026, the question is not only where to register. It is whether the structure will still work once corporate tax, VAT and e-invoicing obligations apply to it.

Free Zone or Mainland: The First Decision That Matters

Most founders compare the two on cost. The more useful comparison is where your revenue will come from.

A Free Zone licence usually suits businesses that:

  • serve clients outside the UAE
  • provide consultancy or professional services
  • import and re-export goods
  • want a defined package of visas, office space and renewal costs

A mainland licence tends to suit businesses that:

  • sell directly to UAE customers or operate retail premises
  • bid for government and semi-government contracts
  • expect to add activities, branches or partners over time

Neither route is inherently cheaper. A Free Zone licence with the wrong activity list can cost more in amendments than a correctly scoped mainland licence. Our company formation team maps the licence to the revenue model before anything is filed.

Tax Now Belongs in the Structuring Conversation

Corporate tax applies at 0% on taxable income up to AED 375,000 and 9% above it. A Qualifying Free Zone Person can still access 0% on qualifying income, but only where substance, audit and qualifying activity conditions are genuinely met. Free zone registration alone does not deliver the rate.

Small Business Relief remains available to resident businesses with revenue of AED 3 million or less. In August 2026 the Ministry of Finance extended it to tax periods ending on or before 31 December 2029 under Ministerial Decision No. 131, well beyond the previously legislated 2026 cut-off. It is elected on the corporate tax return, not applied automatically, and is not available to Qualifying Free Zone Persons.

VAT registration becomes mandatory once taxable supplies exceed AED 375,000 over twelve months, with voluntary registration available from AED 187,500, thresholds published by the Federal Tax Authority. Our corporate tax and VAT teams review both positions before a structure is fixed.

The Costs That Never Appear on a Licence Quote

Setup budgets are built around the licence fee. The recurring commitments sit elsewhere:

  • Corporate bank account opening, which depends on activity, shareholding and source of funds.
  • Visa quotas and the office space required to support them.
  • Bookkeeping, audit and financial reporting obligations
  • Corporate tax and VAT registration, filing and record-keeping
  • E-invoicing readiness, with mandatory phases from 2027, see our guide to UAE e-invoicing deadlines
  • Substance: people, premises and decisions genuinely located in the UAE

Structure for Year Three, Not Month One

The cheapest licence is rarely the cheapest structure. Restructuring later means new approvals, new bank onboarding, visa transfers and a gap in trading history that lenders notice. Before committing, ask where your revenue will be invoiced from in three years, whether you will need UAE-based staff, and whether you will sell to government entities. The answers usually point to one licence type.

How nAlyze Helps

We work with entrepreneurs who want the structure decided on evidence rather than on a package price: modelling the tax position, confirming banking feasibility, and setting up compliance from day one. Compare our packages, or see if you’re a fit.

Frequently Asked Questions

Is a Free Zone or mainland company better in the UAE?

Neither is universally better. Free Zones suit businesses serving clients outside the UAE or in professional services. Mainland suits those selling into the local market or working with government entities.

Do Free Zone companies pay corporate tax in the UAE?

A Qualifying Free Zone Person can apply 0% to qualifying income, subject to substance, audit and activity conditions. Income that does not qualify is taxed under the standard 0% / 9% rules.

When must a new UAE company register for VAT?

Registration is mandatory once taxable supplies and imports exceed AED 375,000 in a twelve-month period. Voluntary registration from AED 187,500 is often useful for businesses with high pre-revenue input VAT.

Can foreign investors own 100% of a UAE mainland company?

Full foreign ownership is permitted for most mainland commercial and industrial activities. A limited set of strategic activities still carries specific conditions, so confirm the activity list before incorporation.

How long does business setup in the UAE take?

Licensing is often completed within days to a few weeks once documents are in order. Bank account opening takes longer and should run in parallel.
