0% Corporate Tax in the UAE on Turnover up to AED 3 Million: What Foreign Business Owners Should Know
A business turning over AED 3 million in the UAE; roughly USD 815,000, or EUR 700,000 can pay zero corporate tax. Not a reduced rate. Not a deferral. Zero.
On 7 August 2026 the UAE Ministry of Finance announced Ministerial Decision No. 131, extending that relief to tax periods ending on or before 31 December 2029. For an owner-managed business in London, Berlin, Sydney or New York, the arithmetic is hard to ignore.
Qualifying is more intricate than the headline suggests. That is the part worth reading.
What the UAE Actually Announced
Small Business Relief is not a reduced rate. A business that elects it is treated as having derived no taxable income for that period, so no corporate tax is payable regardless of profit. The test is revenue: a company turning over AED 2.9 million and earning AED 2 million qualifies on the same basis as one earning AED 50,000.
It had been due to end in December 2026. Three extra years make it something you can plan around.
How That Compares to Your Home Jurisdiction
Headline corporate rates for an equivalent company sit far above zero: 19% to 25% in the UK depending on profit, 25% or 30% in Australia, 21% federal in the US before state taxes, and roughly 25-30% across much of Western Europe. The UAE also levies no personal income tax and maintains a wide network of double taxation agreements.
On paper the gap is dramatic. Accessing it depends on two separate sets of rules: the UAE’s, and your own country’s.
The UAE Conditions
The relief is open to more businesses than most people assume, including free zone companies. What it is not is automatic.
- You must be a UAE Resident Person, a company incorporated here, or an individual operating under a UAE licence
- Revenue must not exceed AED 3 million in the current tax period and in every previous period since 1 June 2023
- Free zone companies can claim it. What matters is which regime you sit under: a business on the Qualifying Free Zone Person regime takes the free zone 0% route instead. Choosing between them is a structuring decision we make with you at incorporation
- You must not belong to a multinational group with consolidated revenue above AED 3.15 billion
- It must be elected on your tax return each year; a missed election is a missed year
- Electing suspends other exemptions and deductions for that period, so in a loss year it is not always the better outcome, we model both before filing
The full conditions are published by the Federal Tax Authority. The mechanics are covered in our guide to Small Business Relief.
What Offshore Marketing Leaves Out: Your Home Country
Registering a UAE company does not end your tax obligations where you live now. Four points that decide whether the structure works:
- United States. US citizens and green card holders are taxed on worldwide income wherever they reside, and anti-deferral rules can tax a controlled foreign company’s profits before anything is distributed
- United Kingdom. Residence is set by the Statutory Residence Test, not by where you hold a licence, and temporary non-residence rules can claw back tax if you return within a set period
- European Union. Under ATAD, member states apply controlled foreign company rules and exit taxation. A UAE entity whose real decisions are taken in Munich or Milan may be treated as tax resident there
- A company can be an Australian tax resident if central management and control sits in Australia, and ceasing personal residency carries capital gains consequences
The UAE also participates in the automatic exchange of financial account information, so your home tax authority is likely to receive data on UAE accounts. Structures relying on nobody finding out stopped being viable years ago.
None of this makes the UAE the wrong answer. It makes it one that has to be built properly; case by case, structured to hold up against your home-country rules, alongside your existing adviser.
The Factor That Decides Everything: Substance
Every one of those regimes asks the same question: where is the business genuinely run? A licence, a flexi-desk and an annual visit will not carry a structure a foreign tax authority examines. Real substance means decisions taken in the UAE, people and premises here, a working corporate bank account, and records that stand up.
Complicated to Qualify For. Straightforward to Hand Over.
The relief is worth real money, and the conditions are intricate; regime choice, the annual election, the revenue test across every prior period, substance, and your home-country position. Businesses lose the benefit on technicalities far more often than on eligibility. That is what we handle: our corporate tax and company formation teams manage the structuring, the election and the filing, and flag the crossover points before they cost you anything.

Frequently Asked Questions
Is corporate tax really 0% in the UAE up to AED 3 million?
Yes, for businesses meeting the conditions that elect Small Business Relief. The threshold is revenue rather than profit, and the relief applies to tax periods ending on or before 31 December 2029.
Can a free zone company claim this relief?
Yes, provided it is not operating under the Qualifying Free Zone Person regime, which offers its own 0% route. Which regime suits you is a structuring decision we handle at incorporation.
Do I have to live in the UAE?
There is no day-count test for the relief itself, but where a company is genuinely managed matters enormously, both for UAE residency and for whether your home country treats the entity as resident there. We advise on the substance needed to make the position hold.
Will I still pay tax in my home country?
Possibly. US citizens are taxed on worldwide income wherever they live, and UK, EU and Australian owners may remain exposed through residency tests and CFC rules. We review this case by case and structure the UAE side to work with your home-country position, alongside your local adviser.
What happens if turnover passes AED 3 million?
The relief is gone, in that period and every later one, and standard corporate tax applies 0% up to AED 375,000 of taxable income and 9% above. Crossing the threshold is manageable when planned for, and we model the transition in advance so it is a scheduled change, not a surprise.
Will I have to register for VAT?
Not always. Registration becomes mandatory once taxable supplies exceed AED 375,000, but qualifying exports of goods and services are zero-rated, and a business making only zero-rated supplies can apply to be excepted from registration. If your UAE entity invoices international clients and delivers outside the UAE, your position differs from one trading locally. Corporate tax registration and filing remain compulsory either way, and we assess both at setup.
